New Delhi<\/strong>: The National Company Law Appellate Tribunal (NCLAT), in an ongoing dispute within the Dainik Jagran group, has allowed Jagran Prakashan Limited (JPL) to go ahead with its Extraordinary General Meeting (EGM) held on May 29, 2026.<\/p>\n\n\n\n

The tribunal, however, has clarified that any resolutions passed at the meeting, including the proposed removal of seven independent directors, will not take effect until the National Company Law Tribunal (NCLT), Allahabad Bench, decides the main case pending before it.<\/p>\n\n\n\n

The controversy started because of a long-running disagreement among members of the Gupta family over the control and management of the company.<\/p>\n\n\n\n

The EGM was called by Jagran Media Network Investment Private Limited (JMNIPL), the holding company of JPL, which owns nearly 68% of the company’s shares. JMNIPL had sought the removal of certain directors, claiming they were appointed against the wishes of the majority shareholder.<\/p>\n\n\n\n

The majority group has challenged the role of Mahendra Mohan Gupta in decisions relating to the company’s board and management.<\/p>\n\n\n\n

While hearing the matter, NCLAT refused to stop the EGM from taking place. Referring to the Supreme Court’s landmark ruling in LIC vs Escorts Ltd., the appellate tribunal said there was no reason to stay the meeting itself.<\/p>\n\n\n\n

At the same time, it directed that any decisions taken at the EGM must remain on hold until the NCLT gives its final ruling.<\/p>\n\n\n\n

The order is being seen as an important step in the larger corporate dispute within the promoter family, as the battle over voting rights and control of the company continues before the NCLT.<\/p>\n\n\n\n

Senior advocates Abhishek Manu Singhvi and U.K. Chaudhary appeared for the majority shareholders and directors of JMNIPL, while JMNIPL was separately represented by senior advocates Darius Khambata, Rajiv Nayar and Abhijeet Sinha<\/p>\n\n\n\n

Jagran Prakashan was represented by senior advocates Kapil Sibal and Abhishek Malhotra. Mahendra Mohan Gupta was represented by senior advocates C.A. Sundaram, Arun Kathpalia and Krishnendu Datta.<\/p>\n\n\n\n

The final outcome of the dispute will now depend on the decision of the NCLT, Allahabad Bench.<\/p>\n","protected":false},"excerpt":{"rendered":"
